The merger talks that boosted Tim Horton's stock soaring up $16 or so yesterday have resulted in Burger King buying Tim Horton's. The bigger part of the story isn't the solely the purchase though: it's Burger King pulling up all of its corporate stakes in the US and moving their headquarters north to save BILLIONS on their corporate taxes. Start of something new?

Buying Tim Hortons would also give the Miami-based burger chain a boost in the lucrative coffee market, which their chief rival McDonald’s has pursued aggressively.

Burger King has already partnered with the Starbucks-owned Seattle’s Best Coffee to make headway in the high-margin java business.

It wouldn’t be the first time a U.S. firm ran the coffee giant.

In 1995 Tim Hortons was purchased by Wendy’s International Inc. for $400 million. Even after it was spun off by Wendy’s in 2006, it remained incorporated in Delaware. It wasn’t until 2009 that it moved its corporate headquarters to Oakville and reclaimed its legal status as a Canadian company.

People briefed on the deal negotiations told The New York Times that the main driver in the talks was not taxes. Burger King already pays a tax rate of roughly 27 per cent, and would shave off only a couple of percentage points by moving to Canada.

And Burger King does not have a significant amount of cash held abroad, these people said. Companies often pursue inversions to gain access to their overseas cash without being hit by a big American tax bill.

One potential reason for the move may be to placate Canadian authorities, the Times said. The Investment Canada Act allows Ottawa to block a merger if it is deemed to not be in the best interests of the country.

A merger structure would allow it to remain Canadian.

The two companies are expected to argue that the deal makes sense because it would create a stronger competitor to McDonald’s and Yum Brands, the owner of Taco Bell and KFC.

Uniting Burger King and Tim Hortons would allow the company to grow faster worldwide, while creating a restaurant operator whose offerings span breakfast, lunch, dinner and snacks.

Anyone else find it interesting that the only food stuff producer P&G owns is Pringles.. Johnson and Johnson owns splenda
Now that is interestiing, isn't it? I recently gave up Splenda in my coffee and went back to sugar, just before I got sick. I think changing back has been much better for my health, because I use less sugar to get my coffee sweet!

This merger is super interesting at the business level. Very cool stuff.

What continues to baffle me to this day though is the appeal of Horton's to so many. The worship at the altar of Horton's I find bizarre. The coffee is putrid. Plain and simple. In any decent size market there will always be far better coffee options. I heard a stat on the radio today that 8 out of 10 cups of coffee bought in Canada are Horton's. No accounting for taste I suppose.

Especially a coffee spoiled city like Vancouver. Why anyone would drink Horton's coffee here is beyond me.

And don't even get me started on the doughnuts :) Try Cartem's, you'll never look back.

Actually I have given up their coffee again for reasons of simple math. When I was a worshiper at the alter of the Double Double on an extremely regular basis, I was a size 24. I gave it up entirely while battling my way to a size 8. Then earlier this summer, I let myself have a really good time for a few weeks, including 3 during which I drank a Double Double or an IceCapp (or some days, one of each). On the day I couldn't zip up my size 10s, I hopped on the scale. I'd gained 16 pounds! I resolved to stop and then got sick and lost it faster than I gained it. The biggest problem with the Double Double is the cream. At 23% fat, it's actually illegal to them to sell it to you to put in your coffee at home, or they would.

A lot of US corporations have their head offices registered outside the US to avoid taxes.

Overall it costs the US at least $700 billion a year.

Like sofine said, I can't stand Timmies. Everything they sell is crap yet they are always packed, WTF? And Burger King, anyone who goes there is nuts.

Any local bakery will have goodies way better than Tim's processed crap, and supporting your local bakery doesn't feed into the Ten Mega Corps above.

Yep, correct on all counts sir. Whether coffee or baked goods, so many better options out there. Horton's coffee is undrinkable. Van has Milano's, JJ Bean, Artigiano, Revolver. That's just four off the top of my head. Even Starbucks, which isn't great coffee, is way better than Horton's. Yet the lineups continue. Go figure.

The doughnuts? Blah.

OK, that's it.

I agree, the donuts are shit. Go to the local mom n pop bakery that doesn't fill their stuff with preservatives. We can get a box of Timmies on Friday morning, and they are still soft even after a long weekend. Yikes!
The good thing about this is that I can now have a double whopper heart attack then crawl ten feet to the other counter and kick start it again with a double double. I'm still young enough to do that. :)

I gave up sugar in my coffee long time ago.
If I want sweetness in my coffee I'll get Miss E to serve it bed with her beside me :)

I dont normally drink coffee but when I do it's black straight up. Thats how you can tell the quality of coffe imho. I've noticed the cheaper brands have a weird sour taste that sugar masks.

Spot on sir. Straight up black is how I always drink my coffee.

A friend of mine who is VERY knowledgeable about coffee cringes at the composition of Horton's "coffee". He says there is actually very little real coffee going on there.

Anyway, at the risk of beating a horse lifeless, if you care about your bean, forget about Horton's, check out one of the many fabulous indies we have in Vancouver. You'll never drink a Horton's again. Trust me.

Yes, I agree. My preference over Starbucks or Timmies is what I brew at home in my Mr. Coffee! Wired Monk is better than either.
